General Terms and Conditions for Customers and Chefs

The single agreement that governs how Thuiskook, the people who cook, and the people who order work together on the Platform.

About this document

This is the General Terms and Conditions for Thuiskook. It is a single document that governs the relationship between Thuiskook and every person who uses the Platform to order food (Customers) or to cook it (Chefs). Thuiskook operates a marketplace that connects independent home Chefs with Customers. Thuiskook is not the producer of the food and does not employ Chefs. These Terms make that clear and set out what each side is responsible for. Delivery performed by Thuiskook's couriers is governed by a separate Community Courier Agreement between Thuiskook and each courier; it is not part of these Terms. These Terms are divided into parts so each audience can find what applies to them. Part A sets out general terms that apply to everyone. Part B applies to Customers. Part C applies to Chefs. Part D sets out terms that, again, apply to everyone (data protection, liability, and the legal boilerplate). Where a Chef has also signed a separate Chef Agreement, that agreement applies in addition; if there is a genuine conflict, the Chef Agreement controls for that Chef.

Don't take Platform Customers off-platform. Your data. We process personal data in line with the GDPR and the Privacy Policy. Each party gets only the information they need to fulfil an order. Our liability. Limited by law. Food is the Chef's responsibility; we are a marketplace. The limits are in Part D.

Part A - General Terms (everyone)

1. Introduction and scope

1.1 Welcome to Thuiskook. These General Terms and Conditions (the “Terms”) govern your access to and use of the Thuiskook website, mobile applications, services and related technologies (together, the “Platform”). Thuiskook is an online marketplace operating in the Netherlands that connects independent home Chefs with Customers seeking home-cooked food. 1.2 These Terms apply to: (a) Customers who place Orders through the Platform; (b) Chefs who offer food through the Platform; and (c) any other person who accesses or uses the Platform. Delivery performed by Thuiskook's couriers is governed by a separate Community Courier Agreement and is outside these Terms. 1.3 By accessing or using the Platform, you confirm that you have read, understood and agreed to be bound by these Terms. If you do not agree, you must not use the Platform. 1.4 Some Parts of these Terms are addressed to a particular audience. Part B applies to Customers and Part C to Chefs. Parts A and D apply to everyone. A Chef who has signed a separate Chef Agreement is also bound by that agreement; in case of genuine conflict, the Chef Agreement controls as between Thuiskook and that Chef.

2. Definitions

In these Terms, the following capitalised terms have the meanings set out below. Thuiskook, we, us, our - Thuiskook B.V., a company registered in the Netherlands under KvK no. [____], with its registered office at [address], [postal code] [city], the Netherlands. Platform - The Thuiskook website, mobile application and related services. Customer - A natural person or legal entity that places an Order through the Platform. Chef - An independent home Chef who offers Dishes through the Platform. Order - A request placed by a Customer through the Platform to purchase one or more Dishes from a Chef, including any group, event or catering request placed through a Party Order function. Dish - An item of food prepared by a Chef and offered for sale through the Platform. Agreement - The agreement between a Customer and a Chef regarding an Order and its delivery or collection. Chef Information - The information provided by or about the Chef, including the Chef's name, address, company and contact details, general information, Dish range (meals, side dishes, options and beverages), the price of each Dish (including or excluding VAT), bank account number for settlement, KvK number, company logo and graphics, delivery area (including postal codes), delivery costs and minimum order amounts. Rate Card - The Thuiskook Delivery Fee Rate Card published by Thuiskook from time to time, setting out the delivery fees for each delivery option. Commission - The fee payable by a Chef to Thuiskook for use of the Platform, as agreed in writing with the Chef. Content - Menus, text, photographs, ratings, reviews, branding and any other materials uploaded to or displayed on the Platform. Personal Data - Has the meaning given in the EU General Data Protection Regulation (GDPR). Privacy Policy - The Thuiskook Privacy Policy, as updated from time to time and available on the Platform. NVWA - The Netherlands Food and Consumer Product Safety Authority (Nederlandse Voedsel- en Warenautoriteit). Tip - A voluntary amount paid by a Customer intended for the person who delivers the Order.

3. Nature of the Platform

3.1 Thuiskook acts as an intermediary technology platform that connects Customers with independent Chefs and, where chosen, arranges delivery. Thuiskook is not the producer, manufacturer or seller of any food offered through the Platform. 3.2 Unless expressly stated otherwise: (a) Thuiskook does not prepare food; (b) Thuiskook does not own kitchens or restaurants; (c) Thuiskook does not employ Chefs; and (d) Thuiskook does not warrant the quality, safety or fitness of any Dish prepared by a Chef. 3.3 Each Chef is an independent business and is solely responsible for the food, including its preparation, hygiene, ingredient sourcing, accurate description, allergen disclosure, and (where the Chef delivers) delivery handling, as well as their own tax and regulatory obligations. 3.4 By placing an Order, the Customer concludes an Agreement directly with the Chef. Thuiskook is a party to that Agreement only in respect of the services it actually provides

(for example, the technology, payment facilitation where offered, and Thuiskook Delivery where chosen). 3.5 Thuiskook does not accept responsibility or liability for the contents of the Offers, Dishes or Chef Information published on the Platform on behalf of Chefs, beyond its own role as operator of the Platform.

4. Identity of Thuiskook

4.1 The Platform is operated by Thuiskook B.V., trading as “Thuiskook”. Registered name: Thuiskook B.V. Principal place of business: [address], [postal code] [city], the Netherlands. KvK (CoC) number: []. BTW (VAT) number: []. Email: hello@thuiskook.com. Website: www.thuiskook.com. 4.2 Customer support is available by email at hello@thuiskook.com and through the in- app support function. Support hours are published on the Platform and may change from time to time.

5. Eligibility and accounts

5.1 To use the Platform you must be at least 18 years old, or otherwise have legal capacity under Dutch law to enter into binding agreements, and you must provide accurate, current and complete registration information and keep it up to date. 5.2 You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that takes place through your account; and (c) notifying Thuiskook promptly if you suspect unauthorised use of your account. 5.3 You may delete your account at any time from within the Platform. On deletion, Thuiskook will handle your Personal Data in accordance with the Privacy Policy and applicable law. 5.4 Thuiskook may suspend or terminate accounts where false, misleading or incomplete information has been provided, or where ineligibility is otherwise established.

Part B - Customers

6. Placing an Order

6.1 Customers place Orders through the Platform. An Order is a binding offer by the Customer to purchase the selected Dishes on the terms shown at checkout. The Agreement takes effect when the Customer finalises the Order through the Platform. 6.2 An Order is confirmed only when accepted by the Chef through the Platform. On acceptance, the Chef is responsible for preparing the Order, the Customer is responsible for payment of the total shown at checkout, and the delivery or pickup arrangement chosen at checkout becomes binding. By accepting an Order, the Chef also confirms that the Dish will match what is described on the Platform. 6.3 The Agreement can only be performed if the Customer provides correct and complete contact and address details. For a Pickup Order, a delivery address is not required. The Customer must promptly report any inaccuracy in the details provided. 6.4 After placing an Order, the Customer must be reachable by telephone or email (as indicated at checkout) for both the Chef and Thuiskook in relation to the status of the Order. 6.5 Thuiskook may refuse to facilitate, or may cancel, an Order where: (a) fraud is suspected; (b) payment fails or cannot be verified; (c) Platform misuse or breach of these Terms is identified; or (d) operational, regulatory or safety concerns arise. Where an Order appears false or fraudulent, Thuiskook may also report the matter to the police.

7. Delivery and pickup

7.1 Three delivery options. Thuiskook supports three delivery options. The Customer selects one at checkout from the options the Chef has made available for the relevant Order. 7.2 Customer Pickup. The Chef sets the pickup location and time, both shown at checkout. No delivery fee applies. To enable pickup, the Platform shares the Chef's pickup address and contact details with the Customer, who uses them only to collect that Order. The Customer must be present at the chosen time, and the Chef must be available at the agreed location and time to hand over the Order. 7.3 Chef Self-Delivery. The Chef defines their delivery area and personally delivers the Order to the address provided. The delivery fee is shown at checkout. To enable delivery, the Platform shares the Customer's name, delivery address, contact number and Order notes with the Chef, who uses them only to deliver that Order. If the Chef arranges delivery through a third party of its own, the Chef remains responsible for that delivery and its cost and indemnifies Thuiskook against related third-party claims. 7.4 Thuiskook Delivery. Thuiskook arranges delivery through its own operations or through independent couriers engaged under a separate Community Courier Agreement. The delivery fee is set in accordance with the Rate Card, paid by the Customer to Thuiskook, and retained by Thuiskook to cover delivery operations. Thuiskook Delivery is available only where indicated on the Platform. The Chef must be available at the agreed location and time to hand the Order to the courier collecting it. 7.5 Estimated times. Delivery and pickup times shown on the Platform are estimates, not binding commitments, and may be affected by demand. Thuiskook uses reasonable efforts to display realistic estimates. 7.6 Customer responsibilities. The Customer must provide an accurate delivery address and contact number, be available to receive the delivery within the agreed window (or make safe alternative arrangements), and collect a Pickup Order within the agreed window. 7.7 Failed delivery or pickup. Additional fees may apply for failed deliveries caused by the Customer (for example, wrong address or no answer on arrival) or for re-delivery attempts. Such fees are clearly described before they are charged. Orders not collected within the agreed pickup window may be treated as completed, and no refund may be due.

8. Prices, payment and tips

8.1 The total payable for an Order may include the price of each Dish, any applicable delivery fee (per Section 7 and the Rate Card), any service fee shown at checkout, and applicable taxes. The total is clearly shown before the Order is confirmed. No fees beyond those shown are charged. 8.2 The Customer pays through the payment method made available on the Platform at the time the Order is placed. Where the Platform processes the payment, payments are handled through regulated third-party payment service providers, and the Customer authorises Thuiskook and the provider to charge the total, process refunds where due, and carry out reasonable verification and fraud checks. 8.3 Where the Platform does not process the payment for a given Order type, the Customer pays the Chef directly through the payment method the Chef has made available, and the payment obligation is to the Chef in that case. 8.4 Receipts and Order history are available to the Customer through their account. Thuiskook may change the payment method or processor from time to time; material changes are notified in advance. 8.5 Tips. After placing an Order, the Customer may choose to tip the person who delivers it through the available online payment methods. Tipping may not be available on Pickup Orders. A Tip is intended for the courier and is not payment for Thuiskook's

services; Thuiskook acts only as a trustee and transferor of Tip amounts. Where a courier is engaged directly by a Chef, Thuiskook transfers the Tip to the Chef, who must pay it to the courier. Once confirmed, a Tip cannot be refunded.

9. Cancellations, modifications and refunds

Customer cancellations and modifications 9.1 Given the perishable nature of food, the standard 14-day cooling-off period for distance sales does not apply to perishable food or food prepared to the Customer's order. Once an Order is confirmed and accepted by the Chef, the Customer does not have a statutory right of withdrawal in respect of the food itself. This does not affect rights where the food is materially defective, the Order is not delivered, or Dutch law provides otherwise. 9.2 Before the Chef accepts an Order, the Customer may cancel it by contacting Thuiskook or the Chef, and any payment already made is refunded in full. Once the Chef has accepted an Order, it can no longer be cancelled through Thuiskook unless the Chef agrees, because preparation may already be planned or underway. An Order cannot be modified once placed. A Customer who wishes to change an Order may contact Thuiskook or the Chef to cancel it, subject to the cancellation rules above, and place a new Order. Chef cancellations 9.3 A Chef should cancel a confirmed Order only in exceptional circumstances (for example, a Dish becomes unavailable, the contact details are incorrect, or force majeure). Where a Chef cancels, the Customer is notified and any payment made for the cancelled Order is refunded in full through the same payment method. The Chef shall notify Thuiskook of any cancellation within 2 days; cancellations notified later may not be taken into account. Refunds for quality or delivery issues 9.4 A refund (full or partial) may be granted where: (a) the Order was not delivered or made available for pickup as agreed; (b) the Order is materially incorrect or incomplete; (c) a food-quality complaint is validated; (d) an allergy concern that was not accurately addressed arises; (e) a communicated dietary restriction was not met; or (f) fraudulent activity is detected. 9.5 To request a refund, contact Thuiskook support through the Platform or at hello@thuiskook.com as soon as reasonably possible, and within 48 hours of delivery or pickup, providing the date of purchase, the Order number and the reason. Refunds are not available for consumed or partially consumed food, for requests made outside the eligibility window, or for dissatisfaction based on personal taste. 9.6 Refund decisions are made by Thuiskook reasonably and in good faith, having regard to the Customer's evidence and the Chef's input. Approved refunds are processed through the original payment method, usually within a reasonable period; depending on the method, processing may take several working days.

10. Allergens and food safety (Customer guidance)

10.1 Every Dish lists the 14 EU-regulated allergens under Regulation (EU) 1169/2011. Customers should carefully read each Dish description, including the allergen information, before ordering. 10.2 If you have an allergy or dietary requirement, also tell the Chef in the Order notes. Thuiskook does not warrant that any Chef's kitchen is free of allergens or cross- contamination. Home kitchens may contain a wider range of ingredients than a commercial kitchen. Customers with serious or life-threatening allergies should consider this carefully before ordering and always exercise their own judgement. 10.3 If you believe you have become unwell or suffered an allergic reaction after a Thuiskook Order, contact Thuiskook support immediately and seek medical attention where needed. Thuiskook will investigate, may suspend the Chef pending investigation,

and may notify the NVWA where appropriate. This does not limit any right you have under mandatory Dutch consumer law.

11. Reviews and ratings

11.1 Customers may submit reviews and ratings about Chefs and Orders. Reviews must be truthful, fair and based on the Customer's own experience, and must not be defamatory, abusive, harassing, discriminatory, unlawful, or contain the personal data of third parties. 11.2 Thuiskook may, under a published moderation policy, remove or edit reviews that are fraudulent or manipulated, contain offensive, defamatory or unlawful content, are spam or advertising, or include third-party personal data without consent. 11.3 By submitting a review, you grant Thuiskook a non-exclusive, royalty-free, worldwide licence to display, store and distribute the review on the Platform and in Thuiskook's marketing materials, for the duration of Thuiskook's reasonable commercial use.

Part C - Chefs

12. Status of the Chef

12.1 The Chef is an independent business and operates on its own account and risk. Nothing in these Terms creates a relationship of employer and employee, agency, partnership, joint venture or franchise between Thuiskook and the Chef. 12.2 The Chef is solely responsible for, and Thuiskook shall not withhold, deduct or pay: (a) income tax, BTW (VAT) and any other taxes arising from the Chef's activity; (b) social security or pension contributions; (c) insurance, including any liability insurance; and (d) sick pay, holiday pay or any other employee benefits. 12.3 The Chef independently determines what to cook, when to cook, the prices for their Dishes, their hours of operation and the manner of preparation, subject only to the standards in these Terms and any Chef Agreement. 12.4 The Chef may provide services to other parties and platforms during the term, subject only to Section 16 (Non-Circumvention) in respect of Customers acquired through the Platform. The Chef authorises Thuiskook to conclude Agreements with Customers on the Chef's behalf and to accept Customer payments on the Chef's behalf where the Platform processes payment.

13. Chef obligations and warranties

13.1 The Chef warrants that they are legally permitted to live and work in the Netherlands and to operate a small food business from their kitchen, and that they hold any registrations, permits, notifications or licences required by law (including KvK registration and BTW registration where applicable). 13.2 The Chef is responsible for the completeness and accuracy of all Chef Information, including menu descriptions, prices, availability and all required food information such as allergens, and shall keep it up to date. Material changes to a live listing are submitted through the Platform and take effect once reviewed and approved by Thuiskook. 13.3 The Chef warrants that the meals, beverages and other products supplied to Customers are suitable for consumption and meet the requirements of applicable food legislation, that Agreements are fulfilled in accordance with the Chef Information displayed on the Platform, and that the Chef holds all required licences. 13.4 The Chef warrants that, at the time of entering into these Terms, it is not bankrupt, that no moratorium of payments (surseance van betaling) has been granted or applied for, and that neither the Chef nor its employees are subject to investigation or prosecution by any authority.

13.5 The Chef shall immediately inform Thuiskook if any food-inspection or other authority investigates or establishes an offence by the Chef under applicable food legislation or other law. 13.6 The Chef shall not offer or sell through the Platform any product whose sale is unlawful. 13.7 The Chef shall package each Order safely and hygienically. Where a plastic bag is strictly necessary for safe, hygienic packaging instead of paper, no additional cost may be charged to the Customer for it unless applicable law provides otherwise. 13.8 The Chef gives Thuiskook permission to use and process Chef Information, including for marketing, databases and partner platforms, on the licence terms in Section 18. The Chef shall not place external links or advertisements on the Platform, or use Thuiskook's brands or trade names, without Thuiskook's consent. 13.9 The Chef shall register a maximum of one Chef per address and per physically separated operational kitchen, and shall ensure reachability by email and telephone during their stated opening hours, responding to a new Order within a reasonable time during those hours. 13.10 The Chef indemnifies Thuiskook against third-party and Customer claims arising from a breach of these warranties or from the Chef's performance of an Agreement, except where the Chef is not responsible for the matter complained of.

14. Food safety, hygiene and NVWA compliance

14.1 Shared goal, Chef's responsibility. Thuiskook and the Chef share the goal of meeting, and where reasonable exceeding, NVWA hygiene requirements and the Hygienecode for small-scale food businesses. The Chef remains solely responsible and liable for compliance in their kitchen; Thuiskook's support does not transfer that responsibility. 14.2 The Chef shall comply with NVWA hygiene requirements and the Hygienecode at all times, including keeping preparation surfaces clean and sanitised, storing raw and cooked foods separately, maintaining safe refrigeration and freezing temperatures, holding hot food at safe temperatures, practising thorough hand hygiene, sourcing ingredients from reputable suppliers, and ensuring that no person with a communicable illness or open wound prepares food for Customers. 14.3 Allergen declaration is mandatory. For each Dish, the Chef shall declare the presence of any of the 14 allergens identified under Regulation (EU) 1169/2011: cereals containing gluten, crustaceans, eggs, fish, peanuts, soybeans, milk, nuts, celery, mustard, sesame seeds, sulphur dioxide and sulphites, lupin, and molluscs. The Chef shall not knowingly serve a Dish containing an undeclared allergen and shall update the declaration whenever a recipe or ingredient changes. 14.4 The Chef shall complete the Thuiskook hygiene self-checklist at onboarding and re- confirm it at reasonable intervals, and is expected to complete a recognised food- hygiene course within a reasonable period of onboarding where Thuiskook requires it as a condition of continued listing. 14.5 The Chef shall notify Thuiskook immediately, and in any event within 24 hours, of: (a) any actual or suspected food-safety incident; (b) any complaint of illness, allergic reaction or other harm attributable to a Dish; and (c) any investigation, inspection or notice from the NVWA or any other authority. 14.6 Thuiskook may, on reasonable notice, verify ongoing compliance by asking the Chef to re-confirm the hygiene self-checklist, requesting dated photographs of the kitchen, refrigeration displays or storage, or (with the Chef's consent) arranging a kitchen visit. In cases of suspected food-safety risk, Thuiskook may suspend the Chef's listing immediately and without prior notice pending investigation; such suspension is not a breach by Thuiskook.

14.7 Thuiskook's provision of briefings, guidance, training signposting or verification does not make Thuiskook responsible for the Chef's compliance, does not constitute approval or certification of the Chef's kitchen, and does not limit the Chef's liability under these Terms.

15. Menu, pricing and commission

15.1 The Chef sets the price for each Dish. Thuiskook does not set the Chef's prices. The Chef shall provide accurate Dish descriptions, principal ingredients, portion sizes and representative photographs, and shall not use misleading, stock or third-party images of Dishes the Chef does not actually prepare. 15.2 Commission. The Commission rate payable by the Chef to Thuiskook is the rate agreed in writing between the parties, as set out in the Chef Agreement or an applicable schedule. Founding-cohort Chefs may receive a commission holiday on the terms of their side letter. 15.3 Service fees. Thuiskook may charge a small service fee per Order to the Customer, shown separately and transparently at checkout. This fee is paid by the Customer and does not affect the Chef's earnings. 15.4 Settlement. Where Thuiskook does not collect Customer payment, Thuiskook invoices the Chef for accrued Commission, and the Chef pays each invoice within the period stated on it. Where Thuiskook collects Customer payment, Commission may be deducted from amounts payable to the Chef and settled net, with a clear statement provided. The Chef accepts Thuiskook's set-off of amounts collected from Customers against amounts the Chef owes Thuiskook, once due. 15.5 BTW. The Chef is responsible for charging and remitting BTW on their sales where required. Thuiskook's Commission may be subject to BTW as a separately invoiced service; BTW will be clearly shown on Thuiskook's invoices. 15.6 Refund costs. Where a Customer is refunded for a completed Order due to a matter attributable to the Chef, the Chef bears the cost of the refund, and any Commission charged on that Order is reversed accordingly. 15.7 Thuiskook may change the standard Commission rate, the service fee or related charges on reasonable prior written notice. If the Chef does not accept a material change, the Chef may terminate before the change takes effect.

16. Non-circumvention

16.1 The Chef acknowledges that Thuiskook invests in marketing, brand-building and operations to attract Customers to the Platform, and that the Chef benefits commercially from this investment. 16.2 For any Customer the Chef first meets, is connected with, or comes to know through the Platform (a “Platform-Acquired Customer”), the Chef shall, during the term and for 12 months after it ends: (a) fulfil that Customer's Orders only through the Platform; and (b) not solicit, encourage or accept that Customer's Orders outside the Platform. 16.3 Carve-out for pre-existing Customers. Section 16.2 does not apply to individuals who were Customers of the Chef's home-food business before the Chef joined the Platform, as identified at onboarding. In the absence of such a list, a Customer first appearing on the Platform is presumed to be a Platform-Acquired Customer. 16.4 Breach of this Section may result in a written warning, suspension, termination for cause, and any other remedy available at law.

Part D - Terms for everyone

17. User conduct

Users of the Platform shall not: use the Platform in any unlawful manner; submit false, misleading or fraudulent information; commit fraud, including chargeback fraud or fake-

order schemes; circumvent the Platform's payment, commission or fee systems; harass, threaten or discriminate against other users or Thuiskook staff or Chefs; upload, transmit or distribute harmful software, viruses or malicious code; infringe the intellectual property rights of Thuiskook or any third party; misuse the reviews or ratings system; scrape, copy or reuse Platform Content without authorisation; or use the Platform to contact other users for purposes unrelated to an Order. Thuiskook may investigate any suspected violation, may suspend accounts during investigation, and may take enforcement action including permanent removal from the Platform.

18. Intellectual property

18.1 The Platform, the Thuiskook brand, name, logo, software, design and all related intellectual property are and remain the property of Thuiskook or its licensors. Nothing on the Platform grants you any right to use Thuiskook's intellectual property beyond what is necessary to use the Platform as permitted by these Terms. 18.2 Users may not copy, reproduce or republish Platform Content for commercial purposes, reverse engineer any part of the Platform, use Thuiskook branding without prior written authorisation, or remove or alter any proprietary notices. 18.3 Chefs retain ownership of the recipes, know-how and Content they upload (such as Dish photographs and descriptions) but grant Thuiskook a non-exclusive, royalty-free, worldwide licence to display, promote and market such Content as part of operating and promoting the Platform, on the terms set out in any Chef Agreement. 18.4 Customers grant Thuiskook a non-exclusive, royalty-free licence to display, store and use Content they submit (such as reviews) as set out in Section 11. Each user warrants that Content they upload is owned by them or used with permission and does not infringe any third-party right, and indemnifies Thuiskook against claims arising from that Content.

19. Privacy and data protection

19.1 Thuiskook processes Personal Data in accordance with the GDPR, the Dutch implementation of the GDPR (Algemene Verordening Gegevensbescherming, AVG), other applicable Dutch privacy laws, and the Privacy Policy, which is incorporated into these Terms by reference. Thuiskook is the data controller for Customer Personal Data collected through the Platform. 19.2 Order-related data sharing. To enable fulfilment of an Order, the Platform shares limited personal data as follows: (a) for Customer Pickup, the Chef's pickup address and contact details are shared with the Customer; (b) for Chef Self-Delivery, the Customer's name, delivery address, contact number and Order notes are shared with the Chef; and (c) for Thuiskook Delivery, the Customer's delivery address and contact information are processed by Thuiskook and, where engaged, the courier delivering the Order, solely to deliver it. 19.3 Each party that receives personal data under Section 19.2 shall use it only for the specific Order, shall not retain it longer than necessary, shall not use it for marketing or any unrelated purpose, shall not disclose it to any third party without consent, and shall apply reasonable security measures to protect it. 19.4 As a data subject, the Customer has rights under the GDPR including access, rectification, erasure, restriction, portability and objection, as described in the Privacy Policy. Each user shall notify Thuiskook immediately, and in any event within 24 hours, of any actual or suspected personal data breach. Thuiskook will notify the Dutch supervisory authority (Autoriteit Persoonsgegevens) and, where required, affected individuals, of a breach in accordance with applicable law.

20. Confidentiality

20.1 Each user shall keep confidential any non-public information of Thuiskook learned through use of the Platform, including Commission rates, internal performance data, planned features, the delivery and dashboard processes, and other commercially

sensitive information, and shall not disclose it to third parties without Thuiskook's written consent. 20.2 Thuiskook shall keep confidential a Chef's recipes, supplier information and other commercially sensitive information about the Chef's business, save as required to operate the Platform or comply with law. 20.3 A Chef shall not approach, solicit or offer employment to Thuiskook's employees or contractors without Thuiskook's prior written consent. This Section survives termination for three years.

21. Suspension and termination

21.1 Thuiskook grants access to the Platform for an indefinite period from acceptance of registration. Either Thuiskook or a Chef may terminate their use of the Platform on at least one month's written notice, completing any accepted Orders during the notice period. A Customer may stop using the Platform and delete their account at any time. 21.2 Thuiskook may suspend or terminate access, or any account, where the user breaches these Terms or any related agreement, commits fraud, abuse or other unlawful conduct, harms the integrity, safety or reputation of the Platform, poses a credible safety or regulatory risk, repeatedly receives negative reviews or manipulates reviews, or is required to be suspended by law, regulator or court order. 21.3 Where possible and appropriate, Thuiskook will give notice before suspending or terminating. Where urgent action is needed (for example, a suspected food-safety incident or fraud) Thuiskook may act first and explain afterwards. Thuiskook also checks Chefs and their owners against applicable sanctions lists and may freeze payments and services where a match or a failed due-diligence assessment requires it. 21.4 Termination does not affect rights or obligations accrued before termination, including outstanding payments, open Orders, or the consequences of any breach. Provisions which by their nature should survive (including those on payment, intellectual property, non-circumvention (12 months), liability, data protection, confidentiality and governing law) survive termination.

22. Platform availability and force majeure

22.1 Thuiskook aims to maintain continuous availability of the Platform but does not guarantee uninterrupted service. The Platform may be unavailable due to maintenance, technical failures, third-party disruptions, security incidents or force majeure. Thuiskook is not liable for losses arising from temporary unavailability but will use commercially reasonable efforts to restore service promptly. 22.2 Neither Thuiskook nor any user is liable for delay or failure to perform to the extent caused by events beyond its reasonable control, including natural disasters, severe weather or fire; strikes or transport disruptions; government acts or restrictions; pandemics or public-health emergencies; internet or telecommunications outages; or cyber incidents not caused by its own negligence. The affected party shall promptly notify the other and use reasonable efforts to mitigate.

23. Limitation of liability

23.1 Thuiskook operates a marketplace and is not the producer of the food. Liability for food quality, food safety, allergens and the conduct of Chefs in preparing and (where applicable) delivering food rests with the Chef. Liability for damage, loss or food-safety issues arising during Chef Self-Delivery rests with the Chef. Delivery performed by Thuiskook's couriers is governed by the separate Community Courier Agreement. 23.2 To the maximum extent permitted by Dutch law, Thuiskook shall not be liable for: (a) food quality, food-safety incidents, allergic reactions or other harm arising from food prepared by a Chef; (b) the conduct of Chefs outside Thuiskook's reasonable control; (c) delivery delays or unavailability of delivery beyond Thuiskook's reasonable control; (d) indirect, consequential, incidental, special or punitive damages, including loss of profits,

business, goodwill or data; (e) damage caused by Content posted by users; or (f) third- party actions, websites or services. 23.3 Thuiskook's total aggregate liability to a Customer in connection with an Order is, to the maximum extent permitted by law, limited to the total amount paid by the Customer for that Order. Thuiskook's total aggregate liability to a Chef in connection with these Terms is, to the maximum extent permitted by law, limited to the total Commission or fees paid by or to that person in respect of Thuiskook's services in the twelve months preceding the event giving rise to the claim, or EUR 1,000, whichever is greater. 23.4 Non-excludable liability. Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under Dutch law, including liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, and any liability under mandatory consumer-protection rules.

24. Indemnification

24.1 To the maximum extent permitted by law, you agree to indemnify and hold harmless Thuiskook (and its officers, employees and agents) against any claim, loss, liability, fine, damages or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party right, including intellectual property and privacy rights; (d) fraudulent or abusive use of the Platform attributable to you; (e) Content you submit; and (f) for Chefs, the food you prepare.

25. Complaints and disputes

25.1 Complaints about a Dish, an Order or the performance of an Agreement are, in the first instance, a matter between the Customer and the Chef, since responsibility for the food and the Agreement lies with the Chef. Thuiskook may assume a mediating role. 25.2 Complaints about Thuiskook's own Service should be sent to Thuiskook support at hello@thuiskook.com or through the in-app support function. Thuiskook will acknowledge a complaint promptly, normally within one week, and aims to resolve it within a reasonable period, normally within two weeks. 25.3 Unresolved consumer disputes may be referred to the competent Dutch authorities, including via the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr where applicable. Nothing in this Section limits a Customer's rights under mandatory Dutch consumer law.

26. Changes to these Terms

26.1 Thuiskook may update these Terms from time to time. The updated Terms will be published on the Platform and the “Last Updated” date revised. Material changes (for example, to liability, refund, payment, commission or non-circumvention terms) will be brought to the affected user's attention by reasonable means before they take effect. 26.2 Continued use of the Platform after the effective date of an update constitutes acceptance of the updated Terms. A user who does not accept an update may stop using the Platform and, where applicable, terminate before the effective date. Rights and obligations under the previous version remain effective for Orders placed before the update took effect. 26.3 For Chefs, amendments that materially affect their rights or obligations are subject to the notice and acceptance mechanics set out in any applicable Chef Agreement.

27. Governing law and jurisdiction

27.1 These Terms are governed by, and shall be interpreted in accordance with, the laws of the Netherlands. 27.2 Any dispute arising under these Terms shall be submitted to the exclusive jurisdiction of the competent courts of the district where Thuiskook is registered, the Netherlands, save where Dutch consumer-protection law allows a

Customer-consumer to bring proceedings in the court of their place of residence. The parties shall first attempt in good faith to resolve any dispute informally within 30 days of written notice. 27.3 Nothing in this Section limits a Customer's rights under mandatory Dutch consumer law.

28. General provisions

28.1 Entire agreement. These Terms, together with the Privacy Policy, any Chef Agreement, and any specific terms referenced (such as promotion terms), constitute the entire agreement between Thuiskook and the user in respect of their use of the Platform. 28.2 Severability. If any provision is found invalid or unenforceable, the remainder continues in full force, and the invalid provision is replaced by a valid one as close as possible in effect. 28.3 No waiver. Failure by Thuiskook to enforce any right is not a waiver of that right. 28.4 Assignment. You may not assign or transfer your rights under these Terms without Thuiskook's prior written consent. Thuiskook may assign these Terms to a successor entity (for example, in a corporate restructuring) on reasonable notice. 28.5 Notices. Thuiskook may give notice through the Platform, by email to the address on file, or by other reasonable means. A user may give notice to Thuiskook by email to hello@thuiskook.com or through the in-app support function. 28.6 Language. These Terms are drafted and maintained in English, which is the authoritative version. A Dutch translation may be made available for convenience; in case of any conflict between the English and Dutch versions, the English version controls. This does not affect any mandatory right a Customer has under Dutch consumer law.
